Ranplan Group AB intends to issue thirty million new shares

Stockholm, Sweden, 8 April 2025
In its Notice to Attend the Annual General Meeting in Ranplan Group AB on 9 May 2025, to be published shortly, the Board of Directors of Ranplan Group AB will propose to issue thirty (30) million new shares, at a subscription price of SEK 1.20, very closely aligned with (within one percentage of) the 18-months volume weighted average price in the market.

External investors invited to take part
Eighteen (18 million), representing sixty (60) percent of the total number, will be made available for external investors, including existing shareholders of the company. Those who wish to take part in this offer must submit a signed subscription form (available on the Company’s website) to George Wells, CFO, at george.wells@ranplanwireless.com on or before 6:00 pm CET on 8th May 2025, the day before the Annual General Meeting 2025.

Directed issue within realm of existing authorisation
This tranche is covered by the existing authorisation of up to 18,847,296 new shares which was resolved at the Annual Shareholder Meeting in May 2024. In the event of oversubscription, the Board of Directors will make allotments at its full discretion, in consistency with the aforementioned authorisation and the Board may resolve, in any circumstance and at its sole discretion, not to conduct the directed issue. The last day of payment for new shares allotted through this directed issue is Friday 30 May 2025.

Set-off issue requiring at least nine-tenths (9/10) approval at AGM 2025
Twelve (12 million), representing forty (40) percent of the total number plus the shares not subscribed for by external investors will be allocated to a set-off issue, through which Per Lindberg, CEO and provider of the credit line (capped at SEK 50 million), will swap debt for equity on exactly the same conditions as presented above. Per Lindberg, thus, guarantees that the full issue of 30 million shares will be completed without any form of compensation. This tranche requires that the proposal be supported by shareholders representing at least nine-tenths (9/10) of the votes cast as well as of the shares represented at the AGM 2025.

Purpose
This initiative will reduce debt, improve the financial results and strengthen the balance sheet.

Ranplan is pleased to invite investors interested in the share issue to a TEAMs conference call, encompassing a brief presentation followed by a question & answer session between 10:00 and 11:00am CET on Monday 14th April or Tuesday 6th May.
